It is your responsibility to ensure appropriate security measures while handling dataset samples and comply with applicable laws and data protection standards. Any security breaches must be immediately reported to Synexis.
In all cases, you must not:

Remove or alter any copyright, trademark, or proprietary notices from materials on this site.
Access or use any part of the Website, its services, or materials for commercial purposes without authorization, except for datasets governed by a Data License Agreement.

By using this Website, YOU AGREE TO WAIVE AND HOLD HARMLESS SYNEXIS, ITS AFFILIATES, LICENSEES, AND SERVICE PROVIDERS FROM ANY CLAIMS ARISING OUT OF ACTIONS TAKEN BY SYNEXIS OR ANY OF THE AFOREMENTIONED PARTIES DURING OR AS A RESULT OF INVESTIGATIONS, OR FROM ACTIONS TAKEN BASED ON INVESTIGATIONS BY LAW ENFORCEMENT AUTHORITIES.

15. Indemnification.
You agree to defend, indemnify, and hold harmless Synexis, its affiliates, licensors, service providers, and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or related to your violation of these Terms of Use or your use of the Synexis platform. This includes, but is not limited to, any contributions you make, your use of any content, services, and products provided by Synexis outside the scope of authorization, or any use of information obtained from the platform.
16. Governing law and jurisdiction.
All matters related to the Synexis platform, these Terms of Use, and any dispute or claim arising from or connected with them (including non-contractual disputes or claims), shall be governed by and construed in accordance with the internal laws of the State of Delaware, USA, without giving effect to any choice or conflict of law provision. Any legal suit, action, or proceeding arising out of or related to these Terms of Use or the Synexis platform must be instituted exclusively in the federal courts of the United States or the courts of the State of Delaware, although we reserve the right to bring any legal action against you in your country of residence or any other relevant country. You waive all objections to the jurisdiction of and venue in such courts.
17. Waiver and severability.
No waiver by Synexis of any term or condition set forth in these Terms of Use shall be deemed a waiver of any other term or condition, and any failure of Synexis to assert a right or provision shall not constitute a waiver of such right or provision. If any provision of these Terms of Use is held by a court or tribunal to be invalid, illegal, or unenforceable for any reason, the offending provision shall be removed or limited, leaving the remaining provisions in full force and effect.
18. Entire Agreement.
These Terms of Use, along with our Privacy Policy, represent the entire agreement between you and Synexis regarding your use of the platform. They supersede all prior agreements, understandings, and representations, both written and oral, related to your access and use of the platform.
